University Rules: Foundation Rules Edith Cowan University Edith Cowan University Act 1984 Rules Amendment No 10 of 2002 Edith Cowan University Foundation Rules 1. The Edith Cowan University Foundation Rules come into operation on the day after the day on which they receive Council approval. 2. The Rules provide as follows: Edith Cowan University Foundation Rules 1. These Rules are made pursuant to Statute No. 4(1)(a). 2. Definitions 2.1 "Board" means the Board of the Foundation established under the Statute. 2.2 "Chairperson of the Board" means the chairperson of the Board appointed under the Statute, subject to the provisions of section 4f of these Rules. 2.3 "Foundation" means the Edith Cowan University Foundation established under the Statute. 2.4 "Patrons" means the Patrons of the Foundation appointed pursuant to the Statute. 2.5 "Statute" means Statute 17 - Edith Cowan University Foundation. 3. Board's Powers and Responsibilities The powers and responsibilities of the Board are as follows: a. to make recommendations to the Council with regard to: i the carrying out of the objectives of the Foundation; and ii. grants and expenditure of the Funds; b. the general management and administration of the Foundation; c. to undertake such actions it deems necessary to raise funds for the Foundation; d. to establish such specialist and advisory committees as it deems necessary from time to time composed of such members of the Board or other persons as the Board may decide; and e. to report annually to the Council on the affairs and operations of the Foundation. 4. Board Proceedings The proceedings of the Board shall be conducted as follows: a. The Board shall meet for the dispatch of business, may adjourn and otherwise regulate its meetings as it thinks fit and shall determine the quorum necessary for the transaction of business. Unless and until otherwise determined by the Board, not less than two thirds of the number of current members of the Board shall form a quorum. b. At least four meetings of the Board shall be held each year. c. The Chairperson of the Board shall, upon the written request of at least two members of the Board at any time, convene a meeting of the Board. d. Unless otherwise agreed by the Board, at least 7 days notice of any Board meeting shall be given to each of the members of the Board. e. Questions arising at any Board meeting shall be decided by a majority of votes cast by the members present, each member having one vote and, in the case of an equality of votes, the Chairperson of the Board shall have a second or casting vote. f. The Chairperson of the Board shall act as chairperson of each meeting of the Board. If the Chairperson of the Board is not present at a Board meeting, the members present shall elect another member to act as Chairperson of the Board for the duration of such meeting. 5. Responsibilities of the Patrons The responsibilities of the Patrons are as follows: a. to provide advice to the Board when requested by the Board in connection with specified matters which may include matters relating to: i. formulation of policies and strategies of the Foundation; ii. promotion of the Foundation; and iii. the achievement of the general and specific objectives of the Foundation; and b. to increase the community's awareness of the Foundation and its objectives. 6. Meetings of the Patrons a. At least two meetings of the Patrons shall be held each year. b. Not less than two Patrons shall form a quorum at a meeting of the Patrons.
